These Terms of Service ("Terms") govern your access to and use of the MindSuite platform and related services provided by MindWrap Solutions, Inc. ("MindWrap", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you represent that you have authority to bind yourself or the organization you represent, and you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

2. Eligibility and Accounts

You must provide accurate account information and keep it up to date. You are responsible for:

  • maintaining confidentiality of account credentials
  • all activity under your account
  • promptly notifying us of unauthorized access or security incidents

We may suspend or terminate accounts that violate these Terms or create risk to the Services or others.

3. Subscription and Fees

Certain features may require paid subscriptions. If applicable:

  • fees, billing cycles, and payment terms will be provided at purchase
  • you authorize us or our payment processor to charge applicable fees
  • failure to pay may result in suspension or termination of paid features

Unless otherwise required by law or expressly stated, fees are non-refundable.

4. Permitted Use

You may use the Services only for lawful business purposes and in compliance with these Terms and applicable laws.

You agree not to:

  • reverse engineer, decompile, or attempt to extract source code except where legally permitted
  • interfere with Service integrity, performance, or security
  • upload malicious code, spam, or abusive content
  • use the Services to violate privacy, intellectual property, or other rights
  • access or use the Services beyond authorized scope

5. Customer Data and Responsibility

You retain responsibility for data submitted through the Services ("Customer Data"), including legality, accuracy, and required rights/permissions. You grant MindWrap the rights necessary to process Customer Data to provide and improve the Services.

6. Integrations and Third-Party Services

The Services may interoperate with third-party products. Your use of third-party services is governed by their terms, and MindWrap is not responsible for third-party products or data practices.

7. Intellectual Property

MindWrap and its licensors retain all rights, title, and interest in and to the Services, including software, content, trademarks, and related intellectual property, excluding Customer Data.

Subject to these Terms and any applicable subscription terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party agrees to protect such information with reasonable care and use it only to perform obligations or exercise rights under these Terms.

9. Service Availability and Changes

We may modify, update, or discontinue parts of the Services from time to time. We strive for availability but do not guarantee uninterrupted or error-free operation.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MINDWRAP OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDWRAP'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MINDWRAP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless MindWrap and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

13. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate as permitted by applicable agreements. Upon termination:

  • your rights to use the Services end
  • we may disable access to your account
  • obligations intended to survive termination remain effective

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Insert Governing Jurisdiction], excluding conflict-of-laws rules. Any disputes will be resolved in the courts located in [Insert Venue], unless otherwise required by law.
